Electronic Record and Signature Disclosure

You have elected to electronically receive documents and disclosures and to electronically execute documents relating to your payment processing accounts and transactions (collectively, the “e-consent”) with Qualpay (“we” or “us” or “Qualpay”). We are required by law to provide to you certain written notices, disclosures and other documents in connection with your e-consent. Described below are the terms and conditions for providing to you such notices, disclosures and documents electronically. Please read the information below carefully and thoroughly and if you can access this information electronically to your satisfaction and agree to this Electronic Record and Signature Disclosure (“ERSD”), please confirm your agreement by selecting ‘I Agree’ below.

Consent to Conduct Transactions Electronically and to Receive Electronic Disclosures and Notices

This ERSD documents your consent to conduct transactions electronically and to receive electronic disclosures, notices and documents relative to your Qualpay relationship. The ERSD also describes your rights relative to your e-consent as well as the consequences of withdrawing your e-consent. We recommend you print and retain a copy of this ERSD and all the disclosures and documents related to your e-consent.

Once you provide your e-consent, you will be able to proceed with your Qualpay Relationship. If you do not provide your e-consent, you will not be able to apply to proceed with payment processing or banking products or services from Qualpay.

You Understand, Prior to Consenting, That:

• Your e-consent applies to all disclosures, notices and documents necessary for the entirety of your Qualpay Relationship.
• You can withdraw your e-consent at any time by emailing us at the email address listed below. However, if you withdraw your e-consent after you establish your Qualpay Relationship, it will not affect the validity of the documents you executed electronically or the validity of the notices and disclosures, including this ERSD, you received electronically while your e-consent was in effect.
• By consenting to receiving disclosures, notices and documents electronically, you agree to provide us with the information (such as a current email address) needed to communicate with you electronically and update us as to any changes in such information by calling us at the number listed below.
  We reserve the right to provide any notices, disclosures or documents in writing, rather than electronically.

Hardware and Software Requirements

To conduct transactions electronically and to receive an electronic copy of the disclosures, notices, terms and conditions, other documents, and changes regarding your Qualpay relationship, you must have the following equipment and software:

• A personal computer or other device which is capable of accessing the Internet.
• Sufficient electronic storage capacity on your computer’s hard drive and other data storage unit.
• An Internet web browser which is capable of supporting 128-bit SSL encrypted communications with an approved version of browser software and/or operating system of either Microsoft Internet Explorer version 9.0 or higher, Firefox version 3.0 or higher, Chrome version 3.4 or higher, or Safari version 5.0 or higher.
• Your computer or other device must be equipped with a supported version of Adobe Acrobat Reader of 8.0 or higher.

By acknowledging and agreeing to this ERSD you certify that you are able to open and view files in Portable Document Format or “PDF” files using Adobe Acrobat Reader which is available for downloading at http://adobe.com/products/acrobat/readstep2.html.

Modifications to the hardware or software requirements in the future may require installation of upgrades to your browser software. You are responsible for any telephone or other connectivity charges incurred in connection with your e-consent and for the installation, maintenance, and operation of your browser software and/or operating system.

Support for new browsers and browser versions will generally be accomplished as they become publicly adopted.

Getting Paper Copies

At any time, you may request from us a paper copy of any record provided or made available electronically to you by us. You will have the ability to download and print documents we send to you during your Qualpay relationship. If you wish for us to send you paper copies of any such documents from our office to you, you may request delivery of such paper copies from us by following the procedure described below.

Consequences of Withdrawing Your Consent

If you elect to withdraw your e-consent, you will not be able to receive banking and payment processing services from Qualpay and your Qualpay relationship will be closed. After your e-consent is completed if you elect to withdraw your e-consent you may do so as described below.

All Notices and Disclosures Will Be Sent to You Electronically

Unless you tell us otherwise in accordance with the procedures described herein, we will provide electronically to you all required notices, disclosures, authorizations, acknowledgements, and other documents that are required to be provided or made available to you at the email address that you have given us. If you do not agree with this process, please let us know as described below. Please also see the paragraph immediately above that describes the consequences of your electing not to receive delivery of the notices and disclosures electronically from us.

How to Contact Us

You may contact us to let us know of your changes as to how we may contact you electronically, to request paper copies of certain information from us, and to withdraw your prior consent to receive notices and disclosures electronically as follows:

• To advise us of your new email address:
  To let us know of a change in your email address where we should send notices and disclosures electronically to you, you must call us at (844) 282-0888 and we will make the necessary changes to your email address.
• To request paper copies from us:
  To request delivery from us of paper copies of the notices, disclosures and documents previously provided by us to you electronically, you must call us at (844) 282-0888 and we will send copies of those documents to you.
• To withdraw your consent with us:
  To revoke your e-consent you may:
  i. decline to sign a document from within your signing session; or
  ii. After your e-consent has been given, you may send us an email to request to revoke your consent at support@qualpay.com or call us at 888-487-7804.
  Your written communication sent to us must state your full name, mailing address, telephone number, and include a statement that you are withdrawing your consent to receive electronic disclosures and notices. Please refer to the section above regarding the effect of withdrawing your consent either prior to or after your e-consent is given.

Acknowledging Your Access and Consent to Receive and Sign Documents Electronically

To confirm to us that you can access this information electronically, which will be similar to other electronic notices and disclosures that we may provide to you, please confirm that you have (i) read this ERSD; (ii) that you are able to print on paper or electronically save this ERSD for your future reference and access; or (ii) that you are able to email this ERSD to an email address where you will be able to print on paper or save it for your future reference and access. Further, if you consent to executing the documents electronically and to receiving notices and disclosures exclusively in electronic format as described herein, then select ‘I Agree’ below.

By selecting ‘I Agree’, you confirm that:

• You can access and read this Electronic Record and Signature Disclosure; and
• You can print on paper this Electronic Record and Signature Disclosure, or save or send this Electronic Record and Signature Disclosure to a location where you can print it, for future reference and access; and
• Until or unless you notify us as described above, you agree to execute the documents electronically related to the e-Transaction and you consent to receive exclusively through electronic means all notices, disclosures, authorizations, acknowledgements, and other documents that are required to be provided or made available to you by us related to the e-Transaction.
